Thanks for using DocUp! By using our services, you agree to these terms and conditions specified here. These terms cover your use and access to DocUp websites and services. Please read them carefully.
Your agreement is with Empower Infonet Pvt. Ltd, the provider of the DocUp services. If you're using our Services for an organization, you're agreeing to these Terms on behalf of that organization.
To user our Services, you provide us with things like your files, content, email messages, contacts and so on ("Your Content"). You will retain ownerships and intellectual property rights which you hold in Your Content. None of these Terms give us any rights to Your Content except for the limited rights that enable us to offer our Services.
We need your permission to perform activities like hosting, store, reproduce and sharing it when you ask us to. Our Services also provide you with features like photo thumbnails, document previews, email organization, easy sorting, editing, sharing and searching. These and other features may require our systems to access, store and scan Your Content. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.
Because of the nature of the services we offer, DocUp allows you to share your content with others as per your need.
You are responsible for reading and understanding all the policies we present before you start using our services to avoid any misuse, misconduct and non-compliance.
Content you access in the Services may be protected intellectual property rights of others. So, please don't copy, upload, download or share content unless you have the right to do so.
We may review your conduct and content for compliance with these Terms and our Acceptable Use Policy. With that said, we have no obligation to do so. We aren't responsible for the content share via the Services.
You may use our Services only as permitted by law. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.
If any of our service requires you to download client software ("Software"), it may update automatically on your device once the new feature or version is available. So long as you comply with these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Software, solely to access the DocUp Services.
You may not copy, edit, re-sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our documented permission.
To the extent any component of the Software may be offered under an open source license, we'll make that license available to you and the provisions of that license may expressly override some of these terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so.
We are constantly changing and improving our Services. We may add or remove functionalities or features.
You can stop using our Services at any time. DocUp may also stop providing Services to you, or add or create new limits to our Services at any time.
We believe that you own your content and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to get information out of that Service.
These Terms don't grant you any right, title or interest in the Services, other’s content in the Services, DocUp trademarks, logos and other brand features. We welcome feedback, but note that we may use comments or suggestions without any obligation to you.
The Service is offered with a free for limited storage space or period. To use additional features and storage space, you will be able pay to the Service. If you fail to pay for additional usage, your account will be frozen and inaccessible until payment is made.
For any upgrade or downgrade in plan level, will result in the new rate being charged at the next billing cycle. There will be no prorating for downgrades in between billing cycles.
Downgrading your Service may cause the loss of features or capacity of your account. DocUp does not accept any liability for such loss.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
You may cancel your DocUp Paid Account at any time but you won't be issued a refund unless it's legally required.
We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.
Your use of the Service is at your sole discretion and risk. We strive hard to provide the Service at best of quality and our abilities. However, you agree to use the service “as is” and “as available” basis.
Technical support is only provided via email, unless other modes are made available in future.
You understand that DocUp uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Service customer, DocUp employee or officer will result in immediate account termination.
DocUp does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.
You expressly understand and agree that DocUp shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if DocUp has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
The failure of DocUp to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and the DocUp and govern your use of the Service, superseding any prior agreements between you and the DocUp (including, but not limited to, any prior versions of the Terms of Service).
Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes.
We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, posting on our blog or on this page). By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.
